End User Licence Agreement

This End User Licence Agreement ('EULA') applies to access to software and hosted product features provided by AgentBeluga.ai, operated by Beluga AI Ltd, including the MyTradeBuddy Dashboard and related Agent Beluga services. It forms part of our Terms of Service and applies to customers, invited users, admins, employees, contractors, and anyone else using an account under a customer workspace.
1. Agreement and parties
This EULA is between Beluga AI Ltd ("Beluga AI", "AgentBeluga.ai", "we", "us") and the person or business accessing the software ("Customer", "you", "End User"). If you use the software on behalf of a company, trade business, agency, or other organisation, you confirm that you are authorised to use the software for that organisation.
If this EULA conflicts with a signed order form or master services agreement between you and Beluga AI, the signed agreement controls for that customer relationship.
2. Licensed software and hosted services
The licensed software includes the Agent Beluga platform, MyTradeBuddy Dashboard, websites, dashboards, APIs, voice and messaging tools, workflow automations, integrations, documentation, templates, and any updates, improvements, or related hosted services we provide.
MyTradeBuddy Dashboard functionality may include customer and lead management, CRM records, properties, jobs, visits, recurring jobs, schedule and calendar booking, quote and invoice workflows, products and services, materials and labour line items, staff management, call handling, outbound lead generation support, message templates, AI-generated summaries, GHL/HighLevel calendar and workflow integrations, Vapi or similar voice AI integrations, payment-related workflows, reporting, and automation monitoring.
3. Licence grant
Subject to your compliance with this EULA, our Terms of Service, the Acceptable Use Policy, and payment of any applicable fees, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable licence to access and use the software during your active subscription or authorised trial, solely for your internal business operations.
The software is licensed, not sold. No ownership interest is transferred to you.
4. Account users and workspace responsibility
Workspace owners and admins are responsible for inviting users, assigning permissions, removing users who no longer require access, and monitoring activity in their organisation. You are responsible for all activity under your account and for keeping login credentials, API keys, integration tokens, calendar links, and webhook URLs secure.
You must ensure that employees, contractors, engineers, sales staff, call handlers, and other invited users only access data and features they are authorised to use.
5. Permitted use
You may use the software to support lawful business operations, including:
- Managing leads, customers, contacts, properties, jobs, visits, quotes, invoices, products, services, and staff records.
- Booking appointments and syncing operational calendars with approved third-party systems.
- Running AI-assisted inbound and outbound call, chat, SMS, email, and follow-up workflows.
- Using workflow automations for lead generation, customer follow-up, appointment reminders, reviews, job updates, and recurring service administration.
- Generating operational summaries, notes, task lists, customer communications, and draft business content for human review.
6. Restrictions
You must not, and must not allow anyone else to:
- Copy, modify, reverse engineer, decompile, disassemble, or attempt to derive source code, models, prompts, architecture, or non-public APIs.
- Use the software to build, train, benchmark, or improve a competing product or service.
- Resell, white-label, sublicense, rent, lease, or provide bureau access to the software without our written agreement.
- Bypass usage limits, authentication, billing controls, security controls, rate limits, or access permissions.
- Upload or process data you do not have the right or lawful basis to use.
- Send spam, unlawful marketing, deceptive calls, unlawful SMS, or communications that breach PECR, UK GDPR, TCPA, CAN-SPAM, ePrivacy rules, or equivalent laws.
- Use the software for emergency response, medical advice, legal advice, financial advice, regulated professional advice, or safety-critical decisions without appropriate human oversight.
- Interfere with the security, integrity, availability, or performance of the software or any connected third-party system.
7. AI, automation, and human review
The software may use AI models to answer calls, generate messages, summarise conversations, classify leads, draft follow-ups, extract job details, recommend actions, and assist with scheduling or workflow decisions. AI output can be inaccurate, incomplete, delayed, biased, or unsuitable for a particular customer situation.
You are responsible for configuring prompts, scripts, call flows, workflows, calendar rules, service areas, pricing information, follow-up rules, and escalation instructions accurately. You must review AI-generated output where business, legal, safety, pricing, contractual, or customer-impacting decisions are involved.
The software is not a substitute for engineers, office staff, compliance officers, accountants, solicitors, or other qualified professionals.
8. Communications and consent
Where you use the software for calls, SMS, email, chat, outbound lead generation, appointment reminders, automated follow-ups, or review requests, you are responsible for making sure each communication is lawful, properly targeted, and sent with the necessary consent or other lawful basis.
You must maintain appropriate opt-out, suppression, do-not-call, and consent records. You must not use contact tags, automations, workflows, or calendar triggers in a way that knowingly causes duplicate, misleading, or unwanted communications.
9. Customer data and operational records
You retain ownership of customer data, job data, call transcripts, recordings, notes, messages, quotes, invoices, uploaded files, product and service catalogues, staff information, and other content you submit or generate through the software. You grant Beluga AI the rights needed to host, process, transmit, display, secure, and support that data in order to provide the service.
You are responsible for the accuracy of operational records, including appointment times, assigned staff, service addresses, customer details, line items, prices, tax treatment, invoices, payment status, and recurring service schedules.
10. Third-party integrations
The software may connect to third-party services such as HighLevel / LeadConnector, Vapi, telephony providers, AI model providers, Stripe, email providers, analytics tools, calendar systems, and other business platforms. Your use of those services is also governed by their own terms, privacy notices, pricing, usage limits, and availability.
We are not responsible for third-party outages, incorrect third-party configuration, revoked tokens, API changes, calendar conflicts, workflow misconfiguration, delayed webhooks, message delivery failures, or data issues caused by third-party systems outside our control.
11. Updates and changes
We may update, improve, rename, replace, or remove features from time to time. This may include changes to CRM workflows, recurring job handling, quote and invoice tools, calendar sync, integrations, AI models, prompts, message templates, or automation behaviour. We will use reasonable efforts to avoid materially reducing core paid functionality without notice.
12. Beta and experimental features
Some features may be labelled alpha, beta, preview, pilot, experimental, early access, or similar. These features may be incomplete, change without notice, produce unexpected results, or be withdrawn. You should not rely on beta features for critical business operations without your own backup process.
13. Intellectual property
Beluga AI and its licensors own all rights in the software, including code, design, user interfaces, workflows, automations, prompts, documentation, templates, product names, logos, and platform architecture. Agent Beluga, AgentBeluga.ai, Beluga AI, MyTradeBuddy, and related branding are owned by Beluga AI Ltd or its licensors.
Feedback, ideas, feature requests, bug reports, or suggestions you provide may be used by us without restriction or obligation, provided we do not disclose your confidential information.
14. Suspension and termination
We may suspend or terminate access if we reasonably believe there has been non-payment, security risk, unlawful use, breach of this EULA, breach of our Terms of Service, abuse of communications features, harm to third-party systems, or use that risks regulatory, legal, reputational, or operational harm.
When your subscription or trial ends, your licence to use the software ends. Data export, deletion, and retention are handled in accordance with our Terms of Service, Privacy Policy, and Data Processing Agreement.
15. Disclaimers
The software is provided "as is" and "as available" except where expressly stated in a signed agreement. We do not guarantee that the software will be uninterrupted, error-free, compatible with every third-party service, or that AI-generated outputs will always be correct.
You remain responsible for business decisions, customer commitments, compliance obligations, pricing, appointments, invoices, payments, staff instructions, emergency handling, and customer communications made using the software.
16. Limitation of liability
To the maximum extent permitted by law, our liability under this EULA is limited as set out in our Terms of Service or any signed agreement with you. Nothing in this EULA limits liability that cannot be limited by law, including fraud or death or personal injury caused by negligence.
17. Governing law
This EULA is governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over disputes arising from or relating to this EULA, except where we may seek urgent injunctive relief in any competent court to protect our intellectual property, confidential information, systems, or users.
