Terms of Service

These Terms of Service ('Terms') are a binding agreement between you ('Customer', 'you') and Beluga AI Ltd ('Beluga AI', 'we', 'us'). They govern your access to and use of our websites, the Agent Beluga platform, the mytradebuddy product, and any related services we provide (collectively, the 'Service'). By creating an account, signing an order form, or otherwise using the Service you agree to these Terms.

1. The Service

Beluga AI provides autonomous AI agent infrastructure and pre-built AI workflows for businesses, including conversational agents, voice receptionists, automated outbound calling, chat, email response, lead capture, and workflow automation. We may add, modify, or remove features over time. Access is provided on a subscription basis on the plan you select at sign-up.

2. Eligibility & Accounts

You must be at least 18 years old and authorised to bind the business you represent. You are responsible for keeping your credentials secure and for all activity that takes place under your account. Notify us immediately at support@agentbeluga.com if you suspect unauthorised access.

3. Fees, Billing & Refunds

  • Subscription fees are charged in advance for the chosen billing period (monthly or annually) in GBP unless stated otherwise.
  • Usage-based charges (additional call minutes, SMS, AI tokens, ad spend) are billed in arrears at the rates shown in your account.
  • Subscriptions auto-renew unless you cancel at least 24 hours before the next billing date from inside your account.
  • Except where required by law, fees are non-refundable. Partial months are not pro-rated on cancellation.
  • We may change pricing on at least 30 days' written notice. Continued use after the change takes effect constitutes acceptance.
  • Late payment may result in suspension of access until the balance is cleared.

4. Acceptable Use

You agree not to, and not to allow anyone using your account to:

  • Use the Service for unlawful, fraudulent, harassing, or deceptive purposes.
  • Send unsolicited communications in breach of PECR, the UK GDPR, the EU ePrivacy rules, the TCPA, CAN-SPAM, or equivalent laws.
  • Upload data you do not have a lawful basis to process.
  • Reverse engineer, scrape, or attempt to derive the source code, models, prompts, or training data behind the Service.
  • Resell, sublicense, or expose the Service to third parties outside your own business without our written consent.
  • Interfere with the Service's security, integrity, or availability.
  • Generate content that is sexually explicit involving minors, promotes self-harm, or violates our model providers' usage policies.

A more detailed list of prohibited use is available in our Acceptable Use Policy. Breach may result in immediate suspension or termination.

5. Your Content & Customer Data

You retain ownership of any data you submit to the Service and any data captured by the Service from your end users ("Customer Data"). You grant us a worldwide, non-exclusive, royalty-free licence to host, process, transmit, and display Customer Data solely as needed to provide the Service and as set out in our Privacy Policy and DPA.

You warrant that you have all rights and consents necessary to provide Customer Data to us and that your collection and use complies with applicable law.

6. AI Output

The Service uses artificial intelligence to generate calls, messages, transcripts, summaries, quotes, and other outputs. AI output is probabilistic and may be inaccurate, incomplete, biased, or unsuitable for a given situation. You are responsible for reviewing AI-generated output before relying on it for business decisions, contracts, or communications. We do not provide legal, financial, medical, or other regulated professional advice through the Service.

Output produced by the Service may not always be unique. You should not rely on output being free of similarity to outputs produced for other users.

7. Intellectual Property

The Service, including all software, models, prompts, designs, documentation, brand assets, and the Agent Beluga and mytradebuddy names and logos, is and remains the exclusive property of Beluga AI Ltd and its licensors. We grant you a limited, non-exclusive, non-transferable licence to use the Service during your subscription. Feedback you provide may be used by us without obligation. All rights not expressly granted are reserved.

8. Third-Party Services

The Service integrates with third-party tools (such as OpenAI, Anthropic, Twilio, Telnyx, Google Workspace, HighLevel, Stripe, ad networks). Your use of those tools is governed by their own terms. We are not responsible for the acts or omissions of third-party providers, but we will use reasonable efforts to choose reputable partners.

9. Confidentiality

Each party agrees to protect the other's confidential information with the same care it uses for its own confidential information and at least a reasonable standard of care, and to use confidential information only to perform under these Terms.

10. Warranties & Disclaimers

We will provide the Service with reasonable skill and care. Except as expressly stated in these Terms, the Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or meet your specific business requirements.

11. Limitation of Liability

To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, goodwill, or data, arising out of or in connection with these Terms. Our total aggregate liability under these Terms in any 12-month period will not exceed the fees you paid to us in that period.

Nothing in these Terms limits any liability that cannot be excluded under applicable law, including death or personal injury caused by negligence and fraud.

12. Indemnity

You agree to indemnify and hold Beluga AI Ltd, its directors, officers, employees, and agents harmless from any claim, loss, or expense arising from (a) Customer Data you provide, (b) your breach of these Terms, or (c) your violation of applicable law.

13. Suspension & Termination

You may cancel at any time from inside your account. We may suspend or terminate your account with notice for material breach, non-payment, suspected fraud, or where required by law. On termination, your right to use the Service ceases and we will delete or return Customer Data in line with the DPA.

14. Changes to the Terms

We may update these Terms from time to time. Where changes are material we will notify you by email or via the platform at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.

15. Governing Law & Disputes

These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute, save that we may seek injunctive relief in any competent court to protect our intellectual property or confidential information.

16. Entire Agreement

These Terms, together with any order form, the Privacy Policy, the Acceptable Use Policy, the Cookie Policy, and the DPA, constitute the entire agreement between you and Beluga AI Ltd regarding the Service. If any provision is held unenforceable the remaining provisions remain in effect.
